Governance Charter
Medialane DAO exists to unlock intellectual property for the Integrity Web. Our governance framework ensures that creators, contributors, and communities can collaborate transparently, equitably, and autonomously.
1. Introduction
This Charter defines how decisions are made, responsibilities are shared, and the protocol evolves — guided by the principles of decentralization, creator sovereignty, and long-term sustainability.
2. Core Principles
We are governed by values that reflect our commitment to a fair and open digital future:
- Decentralization: Decisions are made collectively by MDLN token holders.
- Transparency: Governance actions are recorded on-chain and publicly auditable.
- Sovereignty: Creators retain full control over their IP and participation.
- Inclusivity: Participation is open to all — no KYC, no gatekeeping.
- Integrity: We uphold ethical standards in all protocol and community actions.
3. Participation
Anyone holding MDLN tokens may participate in Medialane DAO governance. No KYC or registration is required. Members may:
- Submit proposals and vote on governance decisions via Snapshot.
- Join working groups and community initiatives.
- Contribute to protocol development, education, and business development.
4. MDLN Governance Token
The MDLN token (Ethereum mainnet: 0x0DC90d57F3Aa3E836Ffd6E777E543a43A487dB15) is used to:
- Propose changes to the protocol or governance structure.
- Vote on proposals, protocol upgrades, and treasury allocation.
- Participate in working groups and community initiatives.
- Access contributor rewards and reputation systems.
MDLN is a fixed-supply token (21,000,000 total) with no insider or investor allocation. Community members acquire MDLN through open liquidity pools. Voting power is proportional to holdings — 1 MDLN = 1 vote.
5. Proposal Lifecycle
Decisions follow a transparent, structured process:
- Discussion: Ideas are raised in community channels and refined with feedback.
- Submission: Any Contributor-tier member (100+ MDLN) may submit a formal proposal on Snapshot.
- Voting: Proposals are voted on by all MDLN holders. Voting period: 5 days minimum.
- Execution: Approved proposals are implemented via smart contracts, multisig, or working groups.
Minimum quorum and majority thresholds are enforced by Snapshot configuration.
6. Treasury Management
The DAO treasury is managed via a Gnosis Safe multisig (0xA7603783edD8ee6FF4B085f90Af53341282d244C):
- Operational runway: 2,100,000 MDLN immediately available for platform operations.
- Vested treasury: 18,900,000 MDLN time-locked, releasing 2,100,000/year for 9 years.
- All fund allocation above operational threshold requires DAO proposal and multisig execution.
- All transactions are publicly auditable on Etherscan.
- Treasury inflows include platform commissions (1%), grants, and ecosystem revenue.
7. Governance Domains
The DAO governs key areas of the Medialane ecosystem:
- Protocol Upgrades: Smart contract changes and feature enhancements.
- Treasury Allocation: Grants, bounties, and ecosystem funding.
- Fee Parameters: Platform commission rates and revenue distribution.
- Business Development: Partnerships, integrations, and commercial agreements.
- Community Initiatives: Events, education, and outreach programs.
8. Working Groups
To scale governance and empower contributors, the DAO may delegate responsibilities to specialized teams:
- Technical: Protocol development, smart contracts, security.
- Creator Relations: Onboarding, partnerships, creator support.
- AI Governance: AI agent participation standards and policies.
- Marketing & Communications: Brand, content, community growth.
Each working group operates transparently and reports to the DAO via monthly summaries.
9. Conflict Resolution
Disputes are resolved through:
- Open discussion and community mediation.
- Proposal-based arbitration mechanisms.
- Optional integration with decentralized dispute resolution protocols.
10. Amendments & Evolution
This Charter may be amended through DAO proposals:
- Changes require quorum and supermajority approval (>66%).
- Decisions and updates are recorded on-chain for transparency.
- The DAO may evolve its structure through progressive decentralization.
